Last year, the OGB presented a proposed new OpenSolaris constitution that attempted to address some of the shortcomings identified in the existing one. Due to a combination of participation/quorum and content issues, the proposal didn't get approved.
The OGB has addressed many of the structural/quorum issues since the election, and are actively working to improve the proposal's content. We are using co-ment.net's group document review service to review and update the working draft.

Notes on using co-ment.net:
- Use your OpenSolaris user name if you want comments tracked to you. Otherwise, you do not need a co-ment account.
- Select just the text you are commenting on, and use the Add tab in the left sidebar to add comments.
- It's better to Add a new comment than to append it to an existing discussion, unless you want to comment on what has already been said. Co-Ment makes the text redder as more new comments are added to a given phrase and that makes it easier to see what needs most attention.
- It is not essential to enter an email address.
- The comment titles should be concise and clear. Reviewers are receiving them by e-mail.
- The comment text should be clear and constructive. If possible include suggested replacement text.

- We plan to incorporate comments and produce an updated version once a week, or as needed.

- nonstandard group management policies need to be approved by the OGB (the expectation is that if the existing policies don't work, we should fix them rather than balkanizing)
- Quorum and voter rolls for an election are set (date of record) 10 days before the start of an election.
- Removed the roll call on IRC and instead depend on voting to determine whether quorum is met.
- s3.4: replacement OGB candidates from the last election must not only be available but also willing to serve.
- s3.4.1: a replacement board needs more than 30 days to call an election, since the announcement of a special election must be given no less than 30 days in advance.... Changed the timer to 45 days.

- Missing an annual election by more than a month (13 from last) causes automatic dissolution of OGB
- Minimum board membership is 3 (not 4) to align with charter.
- "Sun" Liaison changed to "Corporate" Liaison to allow for Oracle/Sun corporate name change
- The Board Secretary is responsible for ensuring all constitutional amendments meet the requirements of the Charter.

Incorporated Talk/Discussion comments from last election cycle. The OGB started with the version presented at last year's election and incorporated most of the feedback received during and after the election cycle:
- There should no longer be any disconnects between the Charter and this proposal, and thus no need to touch the Charter.
- It now includes the statement that "All software produced by the OpenSolaris Community shall be licensed to the public free of charge under one or more open source licenses approved by the Open Source Initiative. "
- The responsibilities expected from each community role are enumerated.
- The triggers for Board dissolution (and the consequences thereof) were clarified
